Terms of Service

1. Acceptance of terms

By accessing the website, registering an account, signing in or using any platform feature, you confirm that you have read, understood and agree to be bound by these Terms of Service together with the Privacy policy. If you do not agree, please stop using the service.

2. Description of services

aGreen / VNATrace supports traceability and information management across agroforestry supply chains, including recording lots, operating enterprise workflows, QR codes / Digital Passports and data transparency tools as described on the website.

We may add, modify or suspend parts of the service for maintenance, upgrades or technical or legal reasons without prior notice in urgent cases; where practicable, notices will be posted on the website or appropriate channels.

3. Accounts and user responsibilities

• You undertake to provide accurate registration information and keep it updated when it changes.
• You are responsible for securing login credentials (password, device, session) and for all activity under your account, except where you can demonstrate an objective system fault on VNForest’s side.
• You must not share your account with third parties contrary to internal rules or your agreement with VNForest.

4. Prohibited conduct

You must not:

• Use the service for unlawful purposes or to infringe others’ rights.
• Interfere without authorisation, exploit vulnerabilities, scan, launch denial-of-service attacks or overload the system.
• Copy, reverse engineer or misappropriate source code or data you are not permitted to take from the platform.
• Upload or spread harmful, fraudulent or misleading content towards the market or partners.

VNForest may suspend or terminate access when serious breaches are found or when required by competent authorities.

5. User-provided content and data

Operational data (lots, transactions, documents, geo notes, etc.) is usually entered or integrated by the subscribing organisation. That organisation is responsible for the lawfulness, accuracy and completeness of the data. VNForest provides tools and technical infrastructure and does not replace each supply-chain party’s sector-specific legal compliance obligations.

6. Intellectual property

the aGreen / VNATrace trade names, documentation and platform software (excluding data you upload) are owned by VNForest or its licensors. Commercial use or copying without written permission is not allowed.

7. Disclaimer and limitation of liability

The service is provided on an “as is” and “as available” basis within the scope of your actual contract or registration. To the extent permitted by law, VNForest is not liable for:

• Service interruptions due to force majeure, network faults, third-party providers or reasonable maintenance windows.
• Indirect losses or lost profits from business decisions relying on data shown on the platform.
• Disputes between supply-chain parties over content or authenticity of data those parties themselves created.

8. Third-party links

The website may link to partner or vendor sites. VNForest does not control their content; you are responsible when you visit them and for complying with those third parties’ terms.

9. Changes to these terms

We may update these Terms of Service. The new version takes effect when published on the website with an updated date. Continued use after that time constitutes acceptance of the changes unless the law requires a different form.

10. Governing law and dispute resolution

Disputes arising from or relating to these terms shall, to the extent allowed by Vietnamese law, first be addressed through negotiation; if that fails, they shall be submitted to a competent court in Vietnam.
